GENERAL TERMS & CONDITIONS OF SALE (GTCS):

Scope of Applicability 

These General Terms and Conditions of Sale (GTCS) apply to all sales of goods by iLoveEcoEssentials ApS (iLEE) notwithstanding any conflicting, contrary, or additional terms and conditions in any purchase order or other communication from the buyer. No such conflicting, contrary or additional terms and conditions shall be deemed accepted by iLEE unless and until we expressly confirm our acceptance in writing. 

We reserve the right to change these GTCS at any time. We will give you thirty calendar days’ notice of any changes by posting notice on our website.  

General terms and conditions apply to all agreements between iLoveEcoEssentials ApS (iLEE), Tax no. 37691410 and the buyer. Sales and delivery terms apply to all products and related services to business entities – B2B.

Basis of agreement 

The GTCS together with iLEE’s order confirmation constitute the overall agreement regarding sales and delivery of products to the buyer (“Basis of Agreement”). Changes and additions to the Basis of Agreement are only valid if the parties have agreed in writing and comply with current legislation. 

Offers and orders 

• Offers are valid for 10 days from the date of issue, unless otherwise stated in the offer. Acceptance of offers received by iLEE after the expiry of the acceptance period is not binding for iLEE unless iLEE notifies the buyer otherwise and in accordance with current legislation. 
• Buyer places the order at www.iloveecoessentials-partner.com iLEE strives to send the order confirmation or rejection no later than 5 working days after receipt of the order. Order confirmations and rejections of orders must be in writing to be binding for iLEE. 
• Offers and subsequent orders are only final when the buyer has received order confirmation incl. prices.  
• The buyer may not modify a placed order without iLEE’s written consent. 

• If iLEE’s order confirmation does not match the buyer’s order or the Agreement, and the buyer does not wish to accept the inconsistent terms, the buyer must notify iLEE in writing within 5 working days after receiving the order confirmation. Otherwise, the buyer is bound by the order confirmation. 

Prices and payment conditions  

• The prices for goods shall be those set forth in our order confirmation. 
• All purchase prices are exclusive of VAT and delivery. Indicative sale prices are incl. VAT. Reservations are made for currency changes. 
• iLEE reserves the right to make price changes, due to changed raw material prices or the like.  
• First order must be prepaid, unless expressly stated otherwise in our order confirmation consecutive orders must be paid at the latest 10 days after receipt of the invoice. 
• The buyer must submit such financial information from time to time as may be reasonably requested by us for the establishment or continuation of payment terms. iLEE may in our sole discretion at any time change agreed payment terms without notice by requiring payment cash in advance or cash on delivery, bank guarantee, letter of credit or otherwise. 
• Payment with releasing effect is made to Danske Bank (account: 3001-11925367, swift: DABADKKK IBAN: DK59 3000 0011 9253 67)  
• If the buyer fails to pay any invoice within the agreed payment term, iLEE may suspend delivery of any purchase order or any remaining balance thereof until payment is made or terminate delivery of any purchase order or any remaining balance thereof by providing written notice of termination to you within seven calendar days of the expiration of the grace period.  
• Interest on outstanding payments in the event of late payment is 2% per month. This shall be in addition to, and not in limitation of, any other rights or remedies to which we are or may be entitled by law or in equity. 

Delivery, inspection duty and retention of ownership 

• Place of delivery according to separate agreement with the buyer.  
• Shipment takes place twice a week and the delivery time depends on the buyer’s location. Delivery will be specified in the order confirmation if agreed in writing with the buyer. 
• Incoterms DDP – Delivered Duty Paid apply. 
• The risk of loss of or damage to goods shall pass to the buyer in accordance with the agreed delivery term. If iLEE receives a delivery on behalf of the buyer, the risk also passes to the buyer upon delivery. 
• If a delivery delay is expected, the buyer is urgently informed. Reason and new expected delivery time are announced. iLEE is not responsible for 3rd party delays.  
• The buyer is obligated to inspect the goods for visible defects within three days after delivery and report any discrepancies in writing. Objection cannot be made to the nature of the goods after this deadline. 
• Retention of ownership is taken until the goods have been fully paid. 

Cancellation, returns and refunds:  

• For stock products, the buyer may change or cancel the order within 24 hours from receipt of the order confirmation. For non-stock products, the buyer may change or cancel the order within 72 hours from receipt of the order confirmation. For customized products, change or cancellations are not possible. 
• iLEE reserves the right to cancel an order if there is a price error, out-of-stock items, or the like. 
• Returns and refunds are subject to iLEE’s prior approval and must be made within 5 days from the date of delivery. The buyer is responsible for all shipping and handling costs associated with the return. 
• Replacement in case of incorrect delivery according to the Customer’s order. Upon request, the buyer must send defective and/or incorrectly delivered products to iLEE. iLEE bears the costs of replacement if the defect or deficiency is covered by the replacement. 

Remedy:  

• Within a reasonable time after iLEE has notified the buyer that a defect is subject to replacement, iLEE will remedy the defect by sending a new similar product. Delivery of products in connection with defects and deficiencies is paid for by iLEE. 

Storage 

• All cosmetic products must be stored by the buyer at a temperature of 10-25 degrees Celsius and kept away from direct sunlight. 

Warranty 

• We warrant that upon delivery and for a period of six months from the date of delivery goods purchased will conform in all material respects to specifications for such goods and will be free from material defects in workmanship, material and design under normal use. The warranty does not cover damage resulting from misuse, negligent handling, lack of reasonable maintenance and care, accident or abuse. 
• With respect to goods which do not conform to the warranty our liability is limited, at our election, to (i) refund of the purchase price for such goods less a reasonable amount for usage, or (ii) replacement of such goods; provided, however, that such goods must be returned to iLEE, along with acceptable evidence of purchase, within five calendar days after the buyer discovered the lack of conformity or ought to have discovered it. 
• We make no other warranty, express or implied, with respect to goods delivered hereunder, and the warranty constitutes our sole obligation in respect of any lack of conformity of goods delivered hereunder. In particular, we make no warranty with respect to the merchantability of goods delivered or their suitability or fitness for any particular purpose. 

Limitation of liability 

• Neither iLEE nor the buyer will be entitled to, and neither iLEE nor the buyer shall be liable for, indirect, special, incidental, consequential, or punitive damages of any nature, including, but not limited to, business interruption costs, loss of profit, removal and/or reinstallation costs, reprocurement costs, loss of data, injury to reputation or loss of customers. The buyer’s recovery from iLEE for any claim shall not exceed the purchase price for the goods giving rise to such claim irrespective of the nature of the claim, whether in contract, tort, warranty or otherwise. 

• Notwithstanding any conflicting terms in the Basis of Agreement, iLEE is in no way liable for losses or damages that can be attributed to use for other purposes. Nor is ILEE responsible for the Buyers loss of revenue in connection with Buyers incorrect use of products, accessories, and related services.  

Product Liability 

• Liability according to mandatory legislation (Product Liability Act). 
• iLEE makes every effort to ensure that the products are safe and reliable. However, in no event shall iLEE be liable for any direct, indirect, incidental, consequential, or special damages arising out of the use or inability to use our products, even if we have been advised of the possibility of such damages. 

Indemnification 

• Buyer agrees to indemnify, defend, and hold iLEE harmless from any claims, liabilities, damages, expenses, or costs (including legal fees) arising from the buyers use of our products or services, buyers violation of these terms and conditions, or any third-party claims related to buyers activities. 

Processing of personal data 

• iLEE processes personal data with due observance of the General Data Protection Regulation and law. Information re the buyer’s name, address, e-mail, telephone number, etc. can solely be used in connection with the buyer’s orders and communication.  
• iLEE complies with the rights of the data subject (including right of access, rectification, deletion, limitation of processing, objection, data portability, complaint and right not to be subject to a decision based solely on automatic processing, including profiling).  
• iLEE will store the data for as long as is necessary for the purpose for which it is processed. iLEE can neither disclose, sell nor otherwise transfer information to third parties, unless the customer has agreed to the same.  
• If the buyer wants information on which data is being processed, having data erased or corrected, the buyer should contact iLEE Finance Department (contact details are available on iloveecoessentials.com).  

Intellectual property rights 

• The full ownership of all intellectual property rights regarding products, accessories and related services belongs to iLEE until full and final redemption has taken place. 

Force Majeure 

• Either party shall be excused from any delay or failure in performance if caused by reason of any occurrence or contingency beyond its reasonable control, including, but not limited to, acts of God, acts of war, fire, insurrection, strikes, lock-outs or other serious labor disputes, riots, earthquakes, floods, explosions or other acts of nature.  The obligations and rights of the party so excused shall be extended on a day-to-day basis for the time period equal to the period of such excusable interruption. When such events have abated, the parties’ respective obligations shall resume. In the event the interruption of the excused party’s obligations continues for a period in excess of thirty calendar days, either party shall have the right to terminate the applicable contract(s) of sale, without liability, upon thirty calendar days’ prior written notice to the other party. 

Confidentiality 

• The buyer may not pass on or use or enable others to use iLEE’s trade secrets or other information of any kind that is not publicly available. 
• The buyer must not improperly obtain or attempt to obtain knowledge of or access to the iLEE’s confidential information. The buyer must handle and store the information properly to prevent it from accidentally coming to the knowledge of others. 
• The buyer’s obligations in relation to maintaining the above confidentiality apply during the parties’ trade and without time limit after the termination of the trade, regardless of the reason for the termination. 

Governing Law and Jurisdiction 

• These GTCS and all contracts of sale entered into between iLEE and the Buyer shall be governed by and construed in accordance with the laws of Denmark without giving effect to any choice of law or conflict of law provisions. Any suits, actions or proceedings that may be instituted by either of us against the other shall be instituted exclusively before the competent courts of Denmark, however, without prejudice to our right to bring suits, actions or proceedings in any other court which would have jurisdiction if this provision had not been incorporated into these GTCS. 

By engaging in business with iLoveEcoEssentials ApS, you acknowledge that you have read, understood, and agree to be bound by these general terms and conditions.

We do not use cookies or log files on our website. However, we use one cookie to prevent the survey pop-up from appearing every time you visit the webpage. 

Personal data

When you make an order on this website, your personal and or company information is registered and stored on www.iloveecoessentials.com for a period of three years. This is done to ensure proper handling in case of warranty or other issues. After three years, your personal and or company information will be deleted. We store your personal data securely and encrypted, and we do not store any sensitive information. 

We collect your personal and/or company information for the purpose of delivering your order. When we collect personal information through the website, we ensure that it is done with your consent, meaning that you will be fully aware of the information that is being collected and the reasons for it. 

Once you place an order, you will receive an order confirmation via email. We are an independent company and do not share your personal information with any third parties. All employees at iLoveEcoEssentials have access to your personal information. 

By having your personal information registered on www.iloveecoessentials.com, you always have the right to request the information deleted, as well as the right to access the personal information we have registered about you. You have these rights in accordance with the personal data law.
